Sosteneo, part of Generali Investments, has agreed to establish ENOVA Generation, a German wind platform holding eleven onshore repowering projects totalling approximately 350 MW. The assets are being sold by joint ventures between Omnes Capital, through its Capenergie 4 and Capenergie 5 funds, and ENOVA Power. Sosteneo takes the majority stake, ENOVA retains a minority position and full operational management, and completion is expected in the third quarter of 2026. Terms were not disclosed. This is the first investment of Sosteneo's second flagship fund, and 60 percent of what it has bought is not yet generating.
Sosteneo is acquiring a majority interest in eleven onshore wind repowering projects totalling around 350 MW, of which 40 percent, roughly 140 MW, is already operational and generating cash flow from the date of acquisition. The remaining 60 percent, about 210 MW, is either under construction or approaching final investment decision. All projects receive remuneration under Germany's Renewable Energy Sources Act for 20 years, which fixes revenue for the operating life. Terms were not disclosed. Enerdatics' benchmark for German operating wind asset transactions since the start of 2023 puts the median implied enterprise value at $3.06 million per MW, within an interquartile range of $2.08 million to $3.72 million, from eight priced deals in a 42-transaction slice carrying $2.06 billion of value. Applying the median to the operational 140 MW alone indicates roughly $428 million.
Repowering replaces ageing turbines on an existing wind site with modern machines, reusing the land, the grid connection and much of the existing consent. The economics are striking: Sosteneo cites an average repowering project quadrupling a wind farm's capacity using half the number of turbines, which implies roughly eight times the capacity per machine. Germany has Europe's largest repowering opportunity because it built early and at scale, so a substantial share of its onshore fleet is now reaching the end of both its design life and its original twenty-year EEG tariff period. Once that tariff expires, an ageing turbine faces merchant prices with rising maintenance costs, which makes replacement the rational option and creates a pipeline defined by the age of the existing fleet rather than by new site availability.
Because that is precisely the mandate. Sosteneo describes Fund II as investing in European clean energy infrastructure at or around the construction-ready stage, supported by visible and contracted cash flows, and this portfolio is built to that specification: enough operating capacity to generate from day one, with the majority still to be delivered and therefore priced below operating value. The EEG tariff is what makes the unbuilt 60 percent underwritable, since twenty years of fixed remuneration removes price risk from assets that do not yet exist. What remains is execution risk, and that is handled structurally rather than financially, with ENOVA retaining a minority stake and full operational management. The seller stays invested in the outcome it is being paid to deliver.
Enerdatics' data shows this is a consistent pattern rather than a new one. Sosteneo has completed nine acquisitions recorded since the start of 2023 before this transaction, across Italy, the United Kingdom and Australia, with $1.68 billion of disclosed value. The largest by some margin was a 2,600 MW Italian battery portfolio bought from Enel in construction for $1.33 billion at $0.51 million per MW in March 2024, alongside two UK battery positions acquired from Pacific Green Technologies in construction, 249 MW for $260 million at $1.04 million per MW and 99 MW for $93.04 million at $0.94 million per MW. Almost every one was in construction or under development at the point of purchase. European Energy appears three times as a seller to Sosteneo, most recently 151 MW of Italian solar in March 2026. Germany is the fourth country on the record and the first outside that established set.
The deal signals that repowering has become an institutional asset class in its own right, distinct from both greenfield development and operating acquisition. A repowering portfolio arrives with land, grid access and community relationships already in place, and with an EEG tariff attached, which produces a risk profile closer to construction than to development. That suits infrastructure capital looking for contracted returns without paying operating multiples. Expect more platforms of this shape as Germany's early fleet ages, and expect the operator to keep a stake in most of them, because repowering execution depends on local relationships that cannot be transferred with the asset.
The fund context is worth noting. Fund II has raised €300 million to date against a €1 billion target, so a majority position in a 350 MW portfolio is a substantial commitment relative to capital currently in hand. Opening a fund with an anchor investment in a new country, alongside an operator that stays on as managing partner, is a way of establishing a platform that subsequent capital can be deployed into rather than a one-off purchase. ENOVA has stated it will continue acquiring and developing further German onshore wind with Omnes, which suggests a pipeline behind this first eleven projects.
