Pine Gate Renewables has raised $650 million from Generate Capital, the Healthcare of Ontario Pension Plan and HESTA. It is the largest equity raise by a US solar company that Enerdatics records in 2024. Leap's deal record puts the price at $0.02 million per MW, a figure that looks like a bargain and means almost nothing.
Key takeaways
- Pine Gate Renewables secured a $650 million investment from Generate Capital, the Healthcare of Ontario Pension Plan (HOOPP) and HESTA, announced on 29 April 2024.
- The Pine Gate investment is intended to support an additional 3 GW of renewable energy infrastructure in the US by 2025 and extends Generate Capital's existing partnership with the company.
- Pine Gate Renewables, founded in 2016 and based in Asheville, North Carolina, runs more than 100 solar facilities with over 2 GW of installed capacity and has more than 30 GW of projects in development.
- Pine Gate's $650 million is the largest of 22 US solar equity raises Enerdatics records in 2024, which together total about $4.12 billion.
- In June 2022 Generate Capital made a $200 million strategic investment in Pine Gate, for a stake Enerdatics understands to be 49 percent, alongside a $300 million commitment to a long-term asset partnership.
Why does $0.02 million per MW tell us nothing?
Because it divides a company investment by a pipeline. Leap's M&A record attaches 40,423 MW to the deal, which is Leap's tally of Pine Gate's operational and development projects. Most of that capacity is not yet built. Dividing $650 million by it produces a number that is arithmetically correct and commercially empty.
Platform deals are valued differently from project deals. A buyer of a single solar farm pays for megawatts that already exist or are about to. An investor in a developer pays for a team, a pipeline, a track record and the ability to keep producing projects. That is why Enerdatics benchmarks corporate deals on earnings multiples where they are available, rather than on price per megawatt.
Leap does not disclose the stake the 2024 investors received. Without it, there is no way to infer a valuation for Pine Gate from this round alone.
What did Pine Gate grow into between 2022 and 2024?
It roughly doubled its running fleet and expanded its pipeline by more than half. When Generate Capital first invested in June 2022, Pine Gate owned and operated more than 1 GW across 89 solar projects and had more than 18 GW in active development. By April 2024 it ran more than 100 solar facilities with over 2 GW installed and more than 30 GW in development.
The 2022 deal also gives the only valuation marker Leap holds. Generate paid $200 million, and Enerdatics understands the equity transacted was 49 percent. If that estimate holds, the price implies about $408 million for the whole company at the time. Generate also committed $300 million to a separate long-term asset partnership for solar project financing.
The way Pine Gate sells its power has widened too. In 2022 most of its projects were contracted to local utilities, and the company also provided engineering, procurement and construction services to more than 5 GW of solar and storage projects in 16 states. By 2024 Leap records its buyers as government entities, communities, utilities and corporate offtakers, including a 20-year PPA with Constellation Energy for the Glover Creek project.
The 2024 round builds on the Generate relationship rather than replacing it. Generate returns as an investor, and two new institutional backers join. Leap's summary says Pine Gate's long-term vision for growth is "validated by the scale of the investment". Kirkland & Ellis acted as legal adviser on the transaction.
How does the raise compare with other US solar equity in 2024?
It leads the year. Enerdatics' data shows 22 US solar equity financings announced in 2024, worth about $4.12 billion in total. Pine Gate's $650 million is about 16 percent of that sum. The next largest were Quinbrook's $600 million Valley of Fire Fund, Nexamp's $520 million, Sandbrook Capital's $460 million for rPlus Energies, BrightNight's $440 million and Doral's $400 million.
Pine Gate also appears lower in the same list. In October 2024 it raised a further $288 million of preferred equity from Blackstone to support the development of six solar projects. Taken together, Pine Gate's two raises total $938 million, close to a quarter of all US solar equity Enerdatics records for the year.
Equity is a small part of the US solar capital stack. The same 2024 data records 97 solar debt financings worth about $21.5 billion and 25 tax equity deals worth about $4.2 billion. Corporate equity sits at the riskiest end, funding development before a project is ready for lenders, which helps explain why few companies raise it at this scale.
What does the deal signal for US solar developers?
It signals that large developers with an operating fleet can still attract institutional equity, and that the money is going to growth rather than to buying out existing owners. The stated use is the financing of a further 3 GW of projects, which in a developer's terms means funding the costs that come before construction debt and tax equity arrive.
It also shows how concentrated the market is. A handful of platforms took most of the year's equity, and Pine Gate took the largest share. Other platforms raised smaller sums in the same year, including MN8 Energy's $325 million from Mercuria and Ridgewood.
The risk sits in the pipeline. Thirty gigawatts in development is a large number to fund. Pine Gate's return to the market six months later for preferred equity, a layer that ranks ahead of common shareholders, suggests the capital need did not end with the April round.
